General 1.DNVGLSE(“DNVGL”)isanindependentorganisationprovidingworldwide surveyandtechnicalcertificationservices. 2.DNVGLactsimpartiallyandobjectively. 3.TherightofinterpretationoftheirtechnicalRules(e.g.GLRulesforClassificationandConstruction)restswithDNVGLalone. 4.TherespectivelatestversionoftheGeneralTermsandConditionsaswellas thepertinenttechnicalRulesareapplicabletoallservicesrenderedbyDNV GL,includingthoserenderedwithinthescopeoftheirstatutoryfunctions,even ifnoseparateagreementhasfromcasetocasebeenreachedregardingtheir applicability.WherecontractualrelationsareestablishedbetweenDNVGLand anypersonsotherthantheclient,therelevanttechnicalRulesandtheprovisionsofG.1.to7.belowshallalsoapplytosuchthirdparties. 5.ThecontractismadesolelyonthebasisofthesaidGeneralTermsandConditions.Noothertermsshallapply,evenifDNVGLacceptsthecontractual performanceoftheClientwithoutprotest. 6.DNVGLalsoprovidestechnicalanalysesandconsultingservices. 7.Thepartiesconfirmthattothebestoftheirknowledgetheyarenotengaged inanybusiness,includingthecarriageofanycargo,whichwouldresultfor theotherpartyoranyofitssubcontractorsbeinginbreachofanysanctionor prohibitionimposedbyanyState,SupranationalorInternationalGovernmental Organisation,includingEURegulation267/2012,byprovidingtheservices requested.Inaddition,DNVGLandtheClientshallcomplytothebestoftheir abilitywithapplicableanti-corruptionlaws. B. ReservationClause 1.Noconfirmationorcertification(certificates)withregardtocomplianceof technicalfactsorproductswiththetechnicalRulesissuedbyDNVGLmustbe givenorissuedbyanybodyotherthanDNVGL. WithoutrelevantcertificatesbeingissuedbyDNVGL,nostatementsmustbe madetotheeffectthattheproductinquestionwasmanufacturedinaccordancewiththeRulesofDNVGL. 2.Aconfirmationgivenorcertificateissuedshallnotreleasetheclientfromhis contractualobligationstowardsthirdparties.Themaintenanceofthevalidity ofsuchconfirmationorcertificate,forexamplethroughtheprocessofregular surveysinthecaseofshipclassification,istheresponsibilityoftheClient. 3.CertificatesareissuedbyDNVGLsubjecttowithdrawalatanytime.Theright ofwithdrawalmay,forinstance,beexercisedintheeventofadaptationsofthe technicalRulestothestateoftheartoroftheclientfailingtocomplyindue timewithconditionsorinstructionsissuedbyDNVGL. 55 Termsandconditions Generaltermsandconditions C. ScopeandPerformance 1.ThekindandscopeofservicesrenderedbyDNVGLarebasedontherelevant agreementsconcludedandalways,intheabsenceofanexpressspecial agreement,ontheRulesforClassificationandSurveysapplicableatthetimeof classinspectionsand/orsurveysand,withrespecttothereviewofconstruction documents,ontheRulesforConstructionofDNVGLapplicableatthetimethe contractwasmadebetweentheshipyardandtheorderingpartyofthevessel. Safety-relevantchangestotheRulesforConstructionmadeafterthedateof thecontractbetweentheshipyardandtheorderingpartyshallbetakeninto consideration. Withrespecttoflagstateinspectionstherelevantregulationsshallapply. 2.Itistheclient’sobligationtoensurethattheservicesofDNVGLcanberenderedsmoothlyandwithoutdelay.DNVGLshall,totheextentrequested,be grantedunrestrictedaccessandtherightofinspection. Anyinformation,drawings,etc.requiredforperformanceofthefunctionsand activitiesofDNVGLmustbemadeavailableinduetime. 3.BeforeDNVGLstartswork,theclientshallinformDNVGLaboutrelevantsafety issuesandtakeallnecessarysafety-relatedmeasurestoensureasafeworkenvironmentforthepersonscarryingouttheworkforDNVGLandshallcomply withalllegalandothersafetyregulations. 4.TheClientacknowledgesandconsentstothefactthatDNVGLmaysubcontractworkrelatedtothiscontracttosubsidiariesofDNVGL.DNVGLisresponsibleforsubcontractedworkinaccordancewiththeprovisionsofthiscontract. 5.DNVGLisonlyresponsibleforservicesithasdelivereddirectlyorthroughits subcontractors. D. Confidentiality DNVGLandtheclientmutuallyagreetosafeguardconfidentialinformation. “ConfidentialInformation”shallbeinformationwhichisdisclosedbyoneof thepartiesbeforeoraftertheorderingdateunlesstheinformationhasbeen publiclyaccessibleoravailabletotherecipientwithouttheobligationof confidentialtreatmentpriortothereceiptinitiatedbythedisclosingpartyor hasbeendevelopedindependentlybytherecipient.DNVGLandtheclient willusetheConfidentialInformationexclusivelywithintheframeworkoftheir activityunderlyingthesetermsandconditions.ConfidentialInformationshall onlybeprovidedtothirdpartieswiththepriorwrittenconsentoftheother party,howeversuchpriorconsentshallnotberequiredinthecaseofinformationprovidedtotherespectivesubsidiaryofDNVGLinvolvedinthecarrying outoftheorderorifapplicablestipulationsoftheInternationalAssociationof ClassificationSocieties(IACS)requiresuchdiscolsure.Further,theaforesaid dutyofconfidentialityshallnotapplytotheextentdisclosureismadeinaccordancewithastatutoryobligationundertheapplicablelaw,ortoaperson professionallyboundbyadutyofconfidentiality,orinaccordancewiththe obligationsDNVGLhastowardsflagstateadministrationsandotherinternationalorganisations,inparticulartherighttounrestrictedaccessandinspection ofinspectorsoftheEUCommission,oronthebasisofstatuteorinternational convention.InformationacquiredbyDNVGLwithinthescopeoftheseterms andconditionsmaybeusedbyDNVGLaspartofDNVGL’sknowledgeas farasthisdoesnotinfringeanystatutoryintellectualpropertyrightsofthe client.Thedutytomaintainconfidentialityshallsurvivetheendofthecontract betweenDNVGLandtheclient. Termsandconditions 56 Generaltermsandconditions E. Remuneration 1.Offeredpricesarenet,exceptwhereVATisexpresslyincluded. 2.ForservicesrenderedbyDNVGLfeesaretobepaidinaccordancewiththe tariffsofDNVGLoronthebasisofthepricequotedintheoffer.Inaddition thereto,DNVGLwillchargeanyextraexpensesincurredinconnectionwiththe servicesrendered(e.g.travellingorotherexpensesand,whereapplicable,any valueadded/turnovertax). 3.Additionalexpenses,whichareincurred,forinstance,asaresultofpoor organisationonthepartoftheclientorofrepetitionoftestsandforwhichDNV GLisnotresponsible,willbechargedseparatelyattherespectivecurrentcost rates. 4.IntheeventanagreementisterminatedbytheClientpriortocompletionof theservicesitshallbepresumedinaccordancewith§649,3rdsentenceofthe GermanCivilCodethatDNVGLshallbeentitledtoatleast10%oftheremunerationagreedinrespectofthoseserviceswhichhavenotbeenprovided. F.PaymentofInvoices 1.ThefeesforallservicesrenderedbyDNVGLaredueforpaymentwithout deduction14daysafterthedateofinvoice.OndefaultDNVGLis–without prejudicetoanyotherrights–entitledtochargedefaultinterest,towithhold certificatesandotherdocumentsand/ortosuspendorrevokethevalidityof certificates. 2.DNVGLhasarightofretentioninrespectofallclaims(whetherrelatedornot) arisingoutofthebusinessrelationship,regardlessofwhetheroneormorevesselsownedormanagedbytheclientareaffected. 3.Anyrightsoflienorretentioninfavouroftheclient,statutoryorotherwise, areherebyexcluded.Likewiseexcludedareanyrightsofset-offwithclient‘s counter-claims,unlesssuchcounter-claimisundisputedorhasbeenfinally adjudicateduponbythecourts. G. Liability 1.LiabilityofDNVGLfordefectsastoqualityshallinthecontextofacontract forworkandservices(”Werkvertrag‘‘)belimitedtoremedyingsuchdefects. Intheeventthatthisisunsuccessful,theclientshall,inadditiontohisrightas per§637oftheGermancivilcode,havetherighttoclaimareductioninthe contractualpriceortowithdrawfromthecontract. 2.Claimsoftheclientfordefectsastoqualityshallbecometimebarredoneyear afteracceptancebytheclientoftheperformancebyDNVGLofitsobligations, insofarassuchdefectsshallnothavebeenwrongfullyconcealedbyDNVGL orcausedbythewilfulmisconductofDNVGL. 3.Furthermore,exceptincaseofbreachbyDNVGLofamaterialcontractual obligation,liabilityofDNVGLforaslightlynegligentperformanceofits obligationstowardstheclientshallbelimitedtofivetimestheremunerationof theindividualobligationtowhichthebreachrelates.Thislimitationofliability shallalsoapplytoclaimsfordamagesbytheclientbasedonthetortofslight negligence.IntheeventofaslightlynegligentbreachbyDNVGLofoneofits materialcontractualobligations,theliabilityofDNVGLshallbelimitedtotypicalcontractualforeseeabledamage.Intheeventofwilfulmisconductorgross 57 Termsandconditions Generaltermsandconditions negligenceonthepartofDNVGL,theliabilityofDNVGLshallbedetermined asprovidedforbylaw.ThisshallalsoapplytoanycasewhereDNVGLisstrictly liablebylaw. 4.PersonalliabilityoftheorgansofDNVGLorpersonstowhomDNVGLresorts toperformitsobligationsisexcludedexceptincaseoftheirwilfulmisconduct orgrossnegligence. 5.TheattentionoftheclientisexpresslydrawntothefactthatithasthepossibilityofagreeingwithDNVGLthattheliabilityofDNVGLbeextendedbeyond whatisprovidedforintheseGeneralTermsandConditions.However,such extensionofliabilityissubjecttotheclientdemandingthisofDNVGL,tothe insurerofDNVGLacceptingtotakeonsuchadditionalriskandtotheclient bearinganyadditionalinsurancecostassociatedwithsuchincreaseinliability. 6.Claimsfordamageswhicharenotclaimsfordefectspursuanttoparagraph1 hereof,withtheexceptionoftortiousclaimsand/orclaimsbroughtunderthe Germanlawonproductliability,shallbetimebarredoneyearafteracceptance bytheclientoftheperformancebyDNVGLoftheobligationinquestion,inso farastherewasnowilfulmisconductorfraudulentintentonthepartofDNV GL. 7.TheprovisionsofclauseG.aboveregardinglimitationofliabilityandtime barshallnotapplytoclaimsfordeath,personalinjury,damagetohealthor infringementofliberty. H. PlaceofPerformance–Jurisdiction–GoverningLaw 1.Theplaceofperformanceforallobligationsresultingfromorinconnection withtherespectiveorderfromtheclientisHamburg,unlessotherwiseprovidedintheorder. 2.TheexclusiveplaceofjurisdictionforclaimsagainstDNVGLisHamburg.DNV GLisentitledtosuetheclientbeforethecourtsinHamburgorbeforeany othercompetentcourt. 3.Germanlawshallgoverntheperformanceoftheorderandallclaimsresulting fromorinconnectionwiththeorder. 4.TheUNSalesConvention1980(CISG)aswellasconflictoflawrulesareexcluded. I.SeverabilityClause IntheeventthatindividualprovisionsofthecontractbetweenDNVGLand theclientortheseGeneralTermsandConditionsareorbecomepartlyorasa wholeineffective,thiswillnotaffecttheeffectivenessoftheremainingterms.
