Alsointhelattercase,ordersshallbedeemedtohavebeenaccepted accordingtothesegeneraltermsandconditionsandanyspecialtermsand conditionsspecifiedinthequotation. 3.Offers OfferssentbyADB/ClayPakyaredeemedtobeacceptedwhenADB/Clay Pakyreceiveswrittenconfirmationfromthecustomer.Anychangesmadebythe customertothetermsandconditionsoftheofferwillonlybevalidifaccepted inwritingbyADB/ClayPakypursuanttosection1326oftheItaliancivilcode. AllofferssentbyADB/ClayPakyaredeemedtobemadeatthepricesineffect atthetimetheyareissued.Thetermsandconditionsspecifiedintheoffers and-morespecifically-theprices,discounts,andpaymentandreturn conditionsarevaliduntiltheexpirydateshownontheofferitself.Ifno expirydateisshown,theofferisdeemedtoexpire30daysafterthedateof issue.Alloffersaresubjecttoproductavailability. 4.ADB/ClayPakyproductsandmarketedproducts TheproductssuppliedareeithermanufacturedbyADB/ClayPaky themselvesormanufacturedbythirdpartiesandmarketedbyADB/ClayPaky. ADB/ClayPakyreservestherighttomakeanychangesitdeemsnecessaryto theirproductsatanytimewithoutpriornotice. Similarly,the specificationsofproductsmarketedbyADB/ClayPakyaresubjecttochangeat thediscretionoftheirrespectivemanufacturers.Thereforetheillustrations anddatashownoncatalogues,offersandpricelistsarepurelyindicativeand subjecttochange. 5.Pricesandtermsofpayment PricesarequotedinEurosandEx-WorksasperINCOTERMS,atADB/Clay Paky'swarehouse,excludingtransportandspecialpackagingcosts.Thecostsof standardpackagingareincluded.Anytaxes,feesorregistrationcostswillbe fullybornebythecustomer. ADB/ClayPakymaychangethesalepricesoftheirproductsandthose theymarketwithoutpriornotice,withoutprejudicetothecustomer'srightto cancelanyordersifthechangeinpriceisgreaterthan3%,exceptaslaid downinpoint2. ExceptforothermethodsthatmaybeagreedbetweenADB/ClayPakyand theindividualcustomer,paymentsmustbemadeviawiretransferuponreceipt ofADB/ClayPakyorderconfirmation,oratofferacceptancebythecustomer,or accordingtoothertermseventuallydefinedbyADB/ClayPaky.Thecustomermust thensendtothesalesdepartmentofADB/ClayPakyacopyofthebankdocument asproofofwiretransfer.Shipmentofgoodstothecustomerdependson ADB/ClayPaky’sverificationthatthepaymentamounthasactuallybeencredited ontheiraccount. Unlessotherwiseagreedinwritingbetweentheparties,intereston deferredpaymentswillbecalculatedattwopercentabovetheprimeratein forceatthetimeofdelivery.Billsofexchange,chequesanddraftsshallbe issuedandaccepted"subjecttocollectionwithrecourse"andtherefore donotconstitutepaymentornovationoftheoriginalobligation. ADBandClayPakylocalareaagentsandrepresentativesmaynotcollect paymentsofanykindwithoutwrittenauthorizationfromADB/ClayPaky.Without suchauthorization,anypaymentmadeisatthecustomer'sriskandperil. Thecustomermaynotdelayorsuspendpaymentsforanyreason,evenif complaintsordisputesarise.Nocustomermaytakelegalactionagainst ADB/ClayPakyifithasnotfirstpaidoffitsdebt. 6.Defaultinterest InIntheeventoflatepayments,thecustomermustpayADB/ClayPaky interestsonarrearswithinthetermsandtotheextentstatedinLegislative DecreeNo.231articles4and5dated09/10/2002asamended,aswellasany costs,asperarticle6ofthesamedecree,thatADB/ClayPakymaysustainto recoveritscredit. 7.Transport ThegoodsshallalwaysbedeemedtobedeliveredatADB/ClayPaky's warehouse,eveniftheyaresold"carriagepaid".Carriageisalways madeonbehalfofthecustomersandattheirrisk,evenwhentheyauthorize ADB/ClayPakytochoosethecarrier.Thecustomersshallchecktheconditionof thegoodsonarrivaland,iftheyfindanydamage,evenonlytothepackaging, theyshallmakeanimmediatewrittenreporttothecarrierinwhichtheyaccept deliverywhilereservingtherighttocheckanydamage.ADB/ClayPakyexpressly disclaimallliabilityforthecostsandproperperformanceofthe carriage. Althoughthedeliverytimesgiveninwrittenandverbal quotations,offersandordersarecompliedwithasfaraspossible,theyare onlyindicativeandADB/ClayPakycannotbeheldresponsibleforanydamage resultingfromdelayindelivery. 8.Complaints Customersshallreportallvisibledefects,notascribabletotransport, toADB/ClayPakyinwritingwithineightdaysfromthedateofreceiptofthe goods.Thisreportshallcontainallinformationrelatingtothenameofthe consignee,thepersonorcompanytheinvoiceismadeoutto,theinvoice number,adescriptionoftheproduct,itsserialnumberandthedefectsfound. Innoeventshalltherecipientbeallowedtotamperwiththegoods, disassemblethemoraltertheiroriginalcondition.Ifthisoccurs,ADB/Clay Pakycannotbeheldresponsible. Returnedgoodsarenotacceptedunless previouslyagreeduponinwritingandwithoutchargetoADB/ClayPaky. 9.Warranty ThewarrantyperiodforADB/ClayPakyproductsandthosemarketedby ADB/ClayPakyistwenty-fourmonthsfromthedateofdelivery,unlessotherwise statedinwriting.ADB/ClayPakyguaranteesthatthegoodstheysupplyarewell manufacturedandofgoodquality.Thewarrantyguaranteestherepairor replacement(atADB/ClayPakydiscretion,forfree,intheshortesttime possible)ofanypartsthatshowacknowledgeddefectsinmaterials, constructionorworkmanshipduringthewarrantyperiodthatmakethem unsuitablefortheirintendeduse.Theguaranteeexcludesanyliabilityfor directorindirectdamageofanykindandforanyreason,forwhichADB/Clay Pakywillthereforenotberequiredtopaycompensation.Thecustomersshall seetodeliveringthepartsthatneedrepairorreplacementtoADB/ClayPaky's worksattheirownexpenseandrisk.Therepairedorreplacementpartsshallbe deliveredbyADB/ClayPakyex-works. Thecustomersloseallrightstothewarrantyiftheydonotcomplywith theagreedconditionsofpaymentevenonlyonce,orifthefaultsreportedare attributabletothecustomersthemselves,theiremployeesorthirdparties,for reasonssuchas:incorrectinstallation,inexperience,imprudence,incorrector improperuse,overloading,andincorrectorfaultymaintenance.Thewarrantyis alsovoidifthecustomerhasmadealterationsortamperedwiththeproducts- eitherdirectlyorbycommissioningthirdpartiestodoso-includingthe replacementofpartsandcomponentscoveredbythewarranty,withoutprior permissionfromClayPaky,aswellasforreasonsofforcemajeure. Repairs,replacementsandalterationsthatarenotcoveredbythe warrantyshallbepaidforatthetimeoftheirimplementationordelivery.If paymentisnotreceived,ADB/ClayPakyreservetherighttoretainrepaired productsandparts. Thewarrantyexcludesallpartsthataresubjecttonormalwearandtear owingtonaturalcausesoruse. 10.Saleandinstallationofproducts ResellerswhodirectlyorindirectlypurchaseproductsfromADB/Clay PakyundertaketocomplywiththesalepricesrecommendedbyClayPakyshownon thepricelist.NoproductmaybeexportedoutsidethecountryADB/ClayPaky intendeditfor,unlesspriorwrittenpermissionisobtainedfromADB/Clay Paky. Ifcustomersdonotcomplywiththis,theyareobligedtopaya50% penaltyonthepriceoftheproductpursuanttosection1382oftheItalian civilcode,withoutprejudicetoclaimsforfurtherloss. ADB/ClayPakyassumesnoresponsibilityforhowtheirproductsare installed.Itisthecustomer'sresponsibilitytochooseaninstallerandmake suretheirchoseninstallerisadealerorinstallerofprovenprofessionalism. ADB/ClayPakycannotbeheldresponsiblefordamageofanykindarisingfrom theuseofitsproducts. 11.Reservationoftitle AllgoodssuppliedbyADB/ClayPakyremainexclusivepropertyof ADB/ClayPakyuntilitreceivesfullcashpaymentoftheirprice.Saleis thereforemadeandacceptedwithreservationoftitleaslaiddowninsection 1523etseq.oftheItaliancivilcode.Duringthisperiod,thecustomersshall actasadepositaryfortheitemssuppliedandassumetheconsequentobligations andresponsibilities.Theyundertaketosafeguardtheitemsandprotectthem againstanycauseofdamage,destruction,loss,etc. Untiltheproductssuppliedarepaidforinfull,theymaybeclaimedby ADB/ClayPakywherevertheyare,eveniftheyareunitedwithorincorporated intogoodsownedbythecustomerorbythirdparties,sincethelawsregarding appliancesandaccessionsdonotapplytothem.Thecustomerisobligedto informADB/ClayPakyimmediatelyofanyactionsforinjunctivereliefbrought bythirdparties,andanyremovalorrelocationofthegoodssupplied. Intheeventofnon-paymentoftheagreedprice,evenonlyasingle instalment,ADB/ClayPakyreservestherighttorequestterminationofthe contractandreturnofthegoodssold.Partialpaymentsalreadymadewillbe keptbyADB/ClayPakyasapenaltyandtocompensateforuse,withoutprejudice toclaimsforfurtherloss. 12.Jurisdictionandvenue EverycontractofsaleenteredintobyADB/ClayPakyisregulatedby ItalianlawevenifthepurchasingpartyisnotofItaliannationality.Any disputethatmayoccurbetweenthepartiesregardingtheinterpretation, implementationormodificationofthisagreementshallbereferredtothe jurisdictionoftheItalianCourtofBergamo.     Close × SubscribeToOurNewsletterProducts Thankyouforsigningup!
